Affiliate Agreement

This Affiliate Agreement ("Agreement") governs your participation as an affiliate ("Affiliate", "You", or "Your") in the Tracked Affiliate Program ("Program") operated by Tracked Training Platform Inc. ("Tracked", "We", "Us", or "Our").
IMPORTANT: This Agreement supplements the Terms of Service and Privacy Policy. By submitting an application to the Program, you agree to all three documents. Please read this Agreement carefully — it includes important provisions about commission calculation, payouts, refund clawbacks, tax obligations, and grounds for suspension.
1. Eligibility
1.1 Who May Apply
To participate in the Program, you must:
- Be at least 18 years of age
- Hold a Tracked account in good standing and not have been previously removed from the Program
- Reside in a country supported by Stripe Connect Express (we use Stripe Connect to issue payouts and complete tax identification)
- Provide accurate and complete information in your application, including a valid country of residence
1.2 Independent Contractor
You are an independent contractor, not an employee, agent, partner, or joint venturer of Tracked. Nothing in this Agreement creates an employment relationship. You have no authority to bind Tracked to any obligation, and you are responsible for your own taxes, insurance, and business expenses.
2. Application and Approval
2.1 Manual Review
Tracked reviews every Program application manually. We may approve, reject, or request additional information at our sole discretion. Submitting an application does not guarantee acceptance, and we are not required to provide a reason for rejecting an application.
2.2 Effective Date
This Agreement becomes effective on the date Tracked approves your application. Until then, no commissions accrue and no attributions are tracked to your account.
3. Commission
3.1 Commission Rate
Tracked sets your commission rate at the time we approve your application. The default rate is thirty percent (30%) of net revenue. Your specific rate is shown in your Affiliate Dashboard and may be adjusted by Tracked from time to time on prospective earnings only — adjustments are not retroactive.
3.2 Net Revenue
Commission is calculated on net revenue — the amount Tracked actually receives from a referred user's qualifying purchase, after applicable platform fees, taxes, currency conversion, and any introductory or promotional discount applied at the time of the transaction. If your referral link or affiliate code is associated with a discount tier, the referred user pays the discounted price and your commission is calculated on that discounted amount.
3.3 Qualifying Events
Commission may accrue on the following purchase events from a user attributed to your affiliate code:
- Initial subscription purchase
- Subscription renewals while attribution is active
- Plan changes (upgrades, downgrades, period changes)
- Non-renewing one-time purchases
3.4 Hold and Clearance Windows
Earned commission is not eligible for payout until a hold period has elapsed. The hold period reflects each transaction's refund and chargeback risk window:
- Annual subscription initial purchase: 60 days
- Monthly subscription initial purchase: 30 days
- Renewals: 14 days
- Plan changes: 14 days
Tracked may extend hold windows on individual earnings if additional fraud or refund-risk review is warranted. Earnings in hold appear in your Affiliate Dashboard as "pending".
4. Reversals and Clawbacks
4.1 When Commission Is Reversed
Commission accrued or paid on a transaction may be reversed if the underlying revenue is reversed. Reversal events include refunds, chargebacks, payment fraud holds, ACH return failures, currency-conversion adjustments, and closure or restriction of your Stripe Connect account.
4.2 Negative Balance
If a reversal occurs after the corresponding commission has already been paid out and your pending balance is insufficient to cover the reversal, your account balance may become negative. Future commissions are first applied to clear any negative balance before becoming eligible for payout. Tracked may, at our discretion, write off small negative balances, but is not obligated to do so.
5. Attribution
5.1 First-Affiliate-Wins
A user is attributed to the first Affiliate whose code or referral link they use prior to creating their Tracked account. Subsequent uses of a different affiliate code by the same user do not change attribution.
5.2 Attribution Window
Attribution remains active for twelve (12) months from the date it is established. After this window, the attribution expires and no further commissions accrue from the user's subsequent purchases. Tracked may modify the attribution window on prospective attributions only.
5.3 Self-Referral Prohibited
You may not refer yourself, accounts you control, or accounts created on your behalf. Self-referral is automatically blocked at attribution time and is grounds for immediate suspension or termination of your participation in the Program.
6. Discount Tiers
Tracked may, at its sole discretion, assign your affiliate code to a discount tier. When a discount tier is assigned, users who sign up using your code receive an introductory discount on their first purchase. Whether you have been assigned a discount tier (and the percentage) is shown in your Affiliate Dashboard. Commissions on a discounted transaction are calculated on the net price the user actually paid, after the discount is applied (see Section 3.2).
7. Payouts
7.1 Stripe Connect
All payouts are processed through Stripe Connect Express. To receive a payout, you must complete Stripe's onboarding, including identity verification (KYC) and any required tax forms. Tracked does not collect or store your banking information directly; that relationship is between you and Stripe under Stripe's Connected Account Agreement.
7.2 Minimum Payout Threshold
The default minimum payout is twenty-five U.S. dollars ($25 USD). Tracked may set a different minimum on your individual account, shown in your Affiliate Dashboard. Eligible earnings below the minimum carry forward and combine with later earnings until the threshold is reached.
7.3 Payout Schedule
Tracked initiates payouts on a periodic basis at our discretion. We make no guarantee of a specific payout cadence. Eligible earnings (those that have cleared their hold window and total above the minimum) are paid in subsequent payout cycles.
7.4 Taxes
You are solely responsible for all taxes on income you receive under this Agreement. Tracked does not withhold income tax. Stripe may collect and file required tax forms on your behalf (such as Form 1099-NEC, 1099-K, W-8BEN, or 1042-S equivalents) based on your country of residence and earnings level. Any tax forms Stripe issues are issued directly to you. You are responsible for reporting income and paying applicable taxes in your jurisdiction.
8. Promotional Conduct
8.1 Required Practices
When promoting Tracked, you must:
- Disclose your affiliate relationship clearly when promoting Tracked, in accordance with applicable law (including the U.S. Federal Trade Commission's Endorsement Guides and similar regulations in your jurisdiction)
- Represent Tracked's features and pricing accurately and not make claims we have not authorized
- Comply with all applicable laws, including anti-spam, consumer-protection, and advertising laws
8.2 Prohibited Practices
The following are prohibited and are grounds for immediate suspension or termination:
- Impersonating Tracked or implying official endorsement of you by Tracked beyond your status as an affiliate
- Bidding on Tracked-trademarked search keywords (including "Tracked", "Tracked Training", "tracked.gg", and confusingly similar variants) on any paid-search platform
- Registering domain names, social-media handles, or app names that include Tracked trademarks or confusingly similar terms
- Sending unsolicited bulk email (spam) to promote Tracked
- Offering rebates, cashback, or other financial incentives in exchange for clicking your link or signing up
- Purchasing a Tracked subscription on your own account or on accounts under your control via your affiliate link (self-referral)
- Using bots, automated traffic, click farms, cookie stuffing, or any other artificial means to generate clicks, sign-ups, or attributions
- Promoting Tracked alongside hate speech, illegal content, adult content not appropriate for general audiences, or content that disparages Tracked or its users
9. Trademark and IP License
Tracked grants you a limited, non-exclusive, non-transferable, and revocable license to use the Tracked name, logo, and screenshots provided in our official affiliate materials, solely for the purpose of promoting the Program in accordance with this Agreement. You must not modify Tracked's logo or marks, and you must follow any brand guidelines we publish. This license terminates immediately when this Agreement terminates or when Tracked notifies you to cease use, whichever is earlier. Nothing in this Agreement transfers ownership of any intellectual property to you.
10. Confidentiality
Your specific commission rate, payout history, internal performance data shown in your Affiliate Dashboard, and any non-public terms of the Program are confidential. You may not disclose this information to third parties except as required by law, or to your tax or legal advisors under a duty of confidentiality.
11. Suspension and Termination
11.1 By Tracked
Tracked may suspend or terminate your participation in the Program at any time:
- Immediately, for cause — including violation of this Agreement, fraud, abuse, breach of the Terms of Service, or any conduct we determine in our reasonable discretion to harm Tracked, its users, or the Program
- Without cause, on thirty (30) days' notice
Suspension stops the accrual of new commissions but does not automatically reverse earnings that have already cleared their hold window. Termination ends your participation in the Program entirely. In the event of termination for fraud or abuse, Tracked may forfeit pending earnings and reverse paid earnings to the maximum extent permitted by law.
11.2 By You
You may resign from the Program at any time by contacting Tracked support. Resignation takes effect when we acknowledge receipt. Pending earnings that clear their hold window after resignation are paid out per the normal schedule, provided your Stripe Connect account remains in good standing.
12. Modifications
We may update this Agreement from time to time. The "Last updated" date at the top of this page is the contractual identifier of the current version. If we make material changes, we will notify you by email or through the Affiliate Dashboard at least thirty (30) days before the changes take effect. Continued participation in the Program after the effective date constitutes acceptance of the modified Agreement. If you do not agree to the modified Agreement, you may resign per Section 11.2 before the effective date.
13. Disclaimers and Limitation of Liability
13.1 No Earnings Guarantee
Tracked makes no guarantee that you will earn any specific amount, or any amount at all, from the Program. Earnings depend on the conversions you generate, the products referred users purchase, refund and chargeback rates, and many other factors outside Tracked's control.
13.2 Service As-Is
The Program, the Affiliate Dashboard, and the tracking infrastructure are provided on an "as-is" and "as-available" basis. We do not warrant that attribution tracking will be uninterrupted or error-free.
13.3 Liability Cap
To the maximum extent permitted by applicable law, Tracked's total liability for any claim arising from or related to this Agreement shall not exceed the greater of: (a) the total commissions actually paid to you under the Program in the twelve (12) months preceding the claim, or (b) one thousand U.S. dollars ($1,000 USD).
13.4 Excluded Damages
In no event will Tracked be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost opportunity, arising from or related to this Agreement, even if we have been advised of the possibility of such damages.
14. Indemnification
You agree to indemnify, defend, and hold harmless Tracked, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your violation of this Agreement
- Your promotional conduct or the content of your promotional materials (including any claim of false advertising, deceptive practices, intellectual-property infringement, or violation of applicable disclosure laws)
- Your failure to pay applicable taxes on commissions received
- Your negligent or intentional misconduct in connection with the Program
15. Dispute Resolution and Governing Law
Disputes arising from or related to this Agreement are governed by the dispute-resolution and governing-law provisions in our Terms of Service, including mandatory binding arbitration, class-action waiver, and choice of law (British Columbia, Canada).
16. Severability
If any provision of this Agreement is found unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17. Acceptance
By submitting a Program application and confirming acceptance of this Agreement, you acknowledge that:
- You have read and understand this Agreement
- You agree to its terms, including the commission, payout, clawback, conduct, and liability provisions
- You are at least 18 years of age
- You are an independent contractor and are responsible for your own taxes
