Coaching Agreement

This Coaching Agreement ("Agreement") governs the relationship between you ("Client"), your fitness coach ("Coach"), and Tracked Training Platform Inc. ("Platform", "We", "Us", or "Our") when you accept a coaching invitation through the Tracked platform.

IMPORTANT: This Agreement supplements the Terms of Service and Privacy Policy. By accepting a coaching invitation, you agree to all three documents. Please read this Agreement carefully as it includes important health disclaimers, assumption of risk, and data sharing consents.

1. Parties and Relationship

1.1 Three-Party Relationship

This Agreement establishes a three-party relationship between:

  • Client (You): The individual receiving coaching services
  • Coach: The fitness professional providing coaching services to you
  • Platform (Tracked): The technology platform facilitating the coaching relationship

1.2 Effective Date

This Agreement becomes effective when you accept your Coach's invitation through the Tracked platform by clicking "Accept", "Continue", or similar confirmation.

2. Platform's Role as Intermediary

2.1 Tracked as Facilitator

Tracked provides the technology platform that enables coaches to deliver services to clients. Tracked is not a party to any coaching agreement between you and your Coach, and does not provide fitness coaching services directly.

Your coaching relationship is directly with your Coach. Tracked facilitates this relationship by providing:

  • A secure platform for workout delivery and tracking
  • Nutrition tracking and food logging tools
  • Communication tools between Coach and Client
  • Progress tracking, analytics, and performance data
  • Data storage and synchronization across devices
  • Payment processing infrastructure (where applicable)

2.2 What Tracked Does NOT Provide

Tracked expressly does not:

  • Provide direct fitness coaching, training, or advice
  • Offer medical, nutritional, or health advice
  • Verify, certify, or endorse Coach qualifications
  • Guarantee any coaching results or outcomes
  • Mediate or resolve disputes between Coach and Client
  • Assume responsibility for the quality or safety of coaching services

3. Coach-Client Relationship

3.1 Direct Relationship

Your coaching relationship is directly with your Coach. Your Coach is solely responsible for the quality, safety, and appropriateness of all coaching advice, workout programs, and guidance they provide.

3.2 Coach Responsibilities

Your Coach is expected to:

  • Provide safe and appropriate workout programming based on your stated abilities and limitations
  • Provide nutrition guidance, if offered, within the scope of their qualifications and applicable regulations
  • Consider any injuries, health conditions, dietary restrictions, food allergies, or limitations you disclose
  • Communicate clearly about program expectations and modifications
  • Maintain appropriate professional boundaries
  • Respond to your communications within a reasonable timeframe

3.3 Client Responsibilities

As a Client, you agree to:

  • Provide accurate and complete health and dietary information during onboarding and throughout the coaching relationship
  • Disclose all injuries, health conditions, medications, food allergies, dietary restrictions, eating disorders (current or historical), and physical limitations that may affect your ability to exercise or follow nutrition guidance safely
  • Follow safe exercise practices and use proper form and technique
  • Communicate any concerns, pain, or discomfort to your Coach promptly
  • Stop any exercise immediately if you experience unusual pain, dizziness, or discomfort
  • Consult with a qualified healthcare provider before beginning or modifying any exercise or nutrition program

4. Health and Medical Disclaimers

4.1 Not Medical Advice

The coaching services provided through Tracked are for general fitness and wellness purposes only and do not constitute medical advice, medical nutrition therapy, diagnosis, or treatment. Always consult with a qualified healthcare provider before beginning any exercise or nutrition program, especially if you have any medical conditions or concerns.

4.1a Nutrition Guidance Disclaimer

Any nutrition guidance provided by your Coach through the platform — including but not limited to calorie targets, macro recommendations, meal suggestions, and dietary advice — is general wellness guidance and does not constitute medical nutrition therapy.

  • Unless your Coach is a licensed registered dietitian or equivalent licensed nutrition professional, their nutrition guidance should be treated as general wellness information, not clinical dietary treatment.
  • If you have a medical condition requiring dietary management (including but not limited to diabetes, eating disorders, kidney disease, celiac disease, food allergies, or pregnancy), consult a registered dietitian or qualified healthcare provider in addition to any guidance from your Coach.
  • Your Coach is responsible for providing nutrition guidance only within the scope of their qualifications and applicable regulations in their jurisdiction.

4.2 Coach Qualifications

Coaches using the Tracked platform represent their own qualifications and certifications. Unless explicitly disclosed otherwise, your Coach is not a licensed physician, registered dietitian, physical therapist, or other licensed healthcare provider. You are responsible for:

  • Evaluating your Coach's qualifications and credentials before beginning a coaching relationship
  • Asking your Coach about their certifications, experience, and areas of expertise
  • Seeking appropriate licensed professionals for medical, dietary, or therapeutic advice

4.3 Pre-Existing Conditions

You must disclose any known health conditions to your Coach, including but not limited to:

  • Heart conditions or cardiovascular disease
  • Diabetes or blood sugar disorders
  • Pregnancy or recent childbirth
  • Recent surgery or medical procedures
  • Chronic pain conditions
  • Joint issues, arthritis, or mobility limitations
  • Respiratory conditions
  • Eating disorders (current or historical), disordered eating patterns, or conditions requiring medical dietary management
  • Food allergies, intolerances, or dietary restrictions related to a medical condition (e.g., celiac disease, kidney disease)
  • Any condition that may affect your ability to exercise safely

Your Coach cannot be responsible for injuries or health issues related to conditions you have not disclosed.

5. Assumption of Risk

5.1 Inherent Risks of Exercise

Physical exercise, by its nature, carries inherent risks including physical injury, strain, discomfort, and in rare cases, serious injury or death. By participating in coaching services through Tracked, you acknowledge these risks and voluntarily choose to participate.

5.2 Specific Risks

You understand and acknowledge that exercise may result in:

  • Sprains, strains, and muscle injuries
  • Joint injuries and pain
  • Cardiovascular stress and related complications
  • Overexertion, fatigue, and exhaustion
  • Falls and impact-related injuries
  • Equipment-related injuries
  • Aggravation of pre-existing conditions
  • In rare cases, heart attack, stroke, or death

5.3 Voluntary Participation

Your participation in coaching services is entirely voluntary. You:

  • Choose to follow the workout programs provided by your Coach
  • May modify or skip any exercise at your discretion
  • Should stop immediately if you experience unusual pain
  • Are solely responsible for exercising within your physical capabilities

6. Data Sharing Consent

6.1 Information Shared with Your Coach

By accepting a coaching invitation, you consent to sharing the following information with your Coach:

  • Personal information (name, email, profile photo, timezone)
  • Health and fitness information provided during onboarding (height, weight, goals, injuries, dietary preferences, food allergies)
  • Workout history, performance data, and exercise completion records
  • Nutrition data including food logs, meal entries, calorie and macro intake, nutrition goals, water intake, and dietary preferences
  • Progress photos and body measurements (if you choose to upload them)
  • Check-in responses and notes
  • Messages and communications sent through the platform

6.2 Coach Data Use

Your Coach may use your data to:

  • Create and adjust personalized workout programs
  • Review your nutrition logs and provide dietary guidance within the scope of their qualifications
  • Track your progress and provide feedback
  • Communicate with you about your training and nutrition
  • Make recommendations based on your performance and goals

Your Coach may not share your personal data with third parties without your explicit consent.

6.2a Progress Photos

If you choose to upload progress photos, these images are considered sensitive personal data and are subject to additional protections:

  • Your Coach may view progress photos through the platform to assess your progress and adjust programming
  • Your Coach is strictly prohibited from downloading, screenshotting, redistributing, or sharing your progress photos outside the platform without your explicit written consent
  • Any non-consensual distribution of progress photos is a violation of this Agreement and may result in immediate account termination and legal action
  • When your coaching relationship ends, your Coach's access to your progress photos is immediately revoked
  • If you believe your progress photos have been misused, report it immediately to safety@tracked.gg

6.3 Data Access After Relationship Ends

When your coaching relationship ends (whether by your choice, your Coach's choice, or mutual agreement):

  • Your Coach's access to your current data, ongoing tracking, and progress photos is immediately revoked
  • Historical coaching data (such as workout programs created for you) may be retained in our systems per our Privacy Policy, but your Coach will no longer have access to view or interact with your data through the platform
  • You retain full access to your own data and workout history

7. Results and Guarantees

7.1 No Guaranteed Results

Fitness results vary significantly based on individual factors. Neither your Coach nor Tracked guarantees any specific outcome, transformation, or result.

7.2 Factors Affecting Results

Your results depend on many factors outside the control of your Coach or the Platform, including:

  • Your starting fitness level and training history
  • Consistency and adherence to prescribed programs
  • Nutrition, hydration, and dietary habits
  • Sleep quality and recovery practices
  • Stress levels and lifestyle factors
  • Individual genetics and physiological factors
  • Age, health conditions, and medications
  • External life circumstances and time availability

7.3 Good Faith Efforts

Your Coach will make good faith efforts to provide quality programming and guidance in accordance with industry standards. Success in fitness coaching requires partnership and effort from both Coach and Client.

8. Limitation of Liability

8.1 Platform Liability Limit

To the maximum extent permitted by applicable law, Tracked's total liability for any claims arising from or related to this Agreement or the coaching relationship shall not exceed the greater of: (a) the total amount you have paid directly to Tracked (not to your Coach) in the twelve (12) months preceding the claim, or (b) one thousand dollars ($1,000 CAD).

8.2 Exclusions from Liability

Tracked expressly disclaims liability for:

  • Coaching advice, programs, or recommendations provided by your Coach
  • Injuries, health issues, or adverse events resulting from following workout programs
  • Results achieved or not achieved from coaching services
  • Actions, omissions, or conduct of Coaches using the platform
  • Disputes between you and your Coach
  • Any indirect, incidental, special, consequential, or punitive damages

8.3 Coach Liability

Your Coach's liability to you is a separate matter between you and your Coach. Coaches may have their own liability limitations, insurance, or terms. Tracked is not a party to any liability arrangements between you and your Coach.

9. Indemnification

You agree to indemnify, defend, and hold harmless Tracked, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your failure to disclose relevant health conditions or limitations
  • Your violation of this Agreement or the Terms of Service
  • Your negligent or intentional misconduct
  • Your misuse of the Platform or coaching services
  • Any claim by a third party related to your use of the coaching services

10. Termination

10.1 Ending the Coaching Relationship

Either you or your Coach may end the coaching relationship at any time by:

  • Notifying the other party through the Tracked platform
  • Contacting Tracked support to request removal

Upon termination, your Coach's access to your ongoing data is revoked, though historical coaching data may be retained per our Privacy Policy.

10.2 Refunds and Payments

Refund policies for coaching services are determined by your Coach, not by Tracked. Any disputes regarding payments or refunds for coaching services should be resolved directly with your Coach. Tracked does not mediate payment disputes between Coaches and Clients.

11. Dispute Resolution

11.1 Coach-Client Disputes

Disputes between you and your Coach regarding coaching services, quality, payments, or any other matter are between you and your Coach. Tracked:

  • Is not a mediator or arbitrator
  • Does not take sides in Coach-Client disputes
  • Encourages direct communication to resolve issues
  • May, at its sole discretion, remove users who violate platform guidelines

11.2 Platform Disputes

Disputes regarding the Tracked platform itself are governed by the dispute resolution provisions in our Terms of Service, including mandatory binding arbitration, class action waiver, and governing law (British Columbia, Canada).

12. Modifications

We may update this Agreement from time to time. If we make material changes, we will notify you by email or through the Platform. Continued use of coaching services after such notice constitutes acceptance of the modified Agreement.

13. Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Acceptance

By clicking "Accept", "Continue", or similar confirmation when accepting a coaching invitation, you acknowledge that:

  • You have read and understand this Coaching Agreement
  • You agree to its terms, including the assumption of risk and liability limitations
  • You consent to sharing your data with your Coach as described above
  • You understand the inherent risks of physical exercise and voluntarily choose to participate
  • You have consulted with a healthcare provider if you have any health concerns
  • You are at least 18 years of age
